Ad hoc announcement pursuant to Art. 53 LR
7 April 2026, Zurich – The board of directors of Youngtimers AG, a Swiss-listed Company (SIX: YTME; the “Company”), confirmed today that all conditions for the previously announced add-on capital increase from the Company's capital band (“Capital Increase”) have been fulfilled by today. The closing of the add-on capital increase (entry into the daily register of the commercial register) is expected for tomorrow, 8 April 2026. The first day of trading of the new shares from the Capital Increase is expected for the day thereafter, 9 April 2026.
In the Capital Increase, the Company's share capital shall be increased by CHF 1,926,276.24 through the issuance of 4,586,372 new bearer shares with a nominal value of CHF 0.42 each at nominal value. Contributions in the amount of CHF 1,169,599.62 for 2,784,761 new shares shall be made in cash, and contributions in the amount of CHF 756,676.62 for 1,801,611 new shares shall be made by off-setting receivables (debt-equity- swap).
The closing and the first day of trading of the new shares remain subject to the completion of final formalities (registration in the commercial register and submission of outstanding documents to SIX Exchange Regulation AG).
