Ad hoc announcement pursuant to Art. 53 LR
15 December 2025, Zurich – After it can be expected that all closing conditions of the ordinary capital increase ("Capital Increase"), approved by the shareholders of Youngtimers AG, a Swiss-listed Company (SIX: YTME; the “Company”) at the extraordinary general meeting of 4 December 2025 ("EGM"), will be fulfilled, the Board of Directors of the Company has confirmed that the Capital Increase shall close later today (15 December 2025).
Also later today, the listing prospectus concerning the listing of the new bearer shares with a nominal value of CHF 0.42 each from the Capital Increase ("New Shares"), as well as the formal listing of 76,190,475 bearer shares with a nominal value of CHF 0.42 each which may be issued as part of the conditional capital of the Company also approved by the shareholders at the EGM, will be published, on the website of the Company in the news section.
The first day of trading of the New Shares shall be tomorrow (16 December 2025).
In the Capital Increase, 173,319,046 New Shares in the aggregate nominal value of CHF 49,733,568.36 will be issued. The Capital Increase marks an important step to enhance the Company's and the group's balance sheet and liquidity situation and to strengthen the strategic partnership with DL Holdings Group Limited.
