Motions approved by 100% of the Shareholders at today's Extraordinary General Meeting, including important ordinary capital increase

At yesterday’s Extraordinary General Meeting the Shareholders of Youngtimers AG, a Swiss-listed Company (SIX: YTME; the “Company”), unanimously approved all motions submitted by the Board of Directors.

The Shareholders approved comprehensive capital measures, namely an ordinary capital increase in the amount of CHF 49,733,568.36 by issuing 118,413,258 new fully paid bearer shares in the Company with a nominal value of CHF 0.42 each (“New Shares”). In the capital increase, amongst others, strategic partner DL Holdings Group Limited committed to increase its investment in the Company. The ordinary capital increase is expected to close, and the first day of trading of the New Shares to occur, before 19 December 2025. The closing remains subject to customary conditions. 

Furthermore, a new capital band of plus/minus 20% of the share capital was approved by the Shareholders, as well as an increase of the Company’s conditional capital for the participation of employees and other persons and the introduction of a new conditional capital to accommodate potential future convertible, option and other financial market instruments.

The shareholders also elected Joseph Shie Jay Lang, an executive director of DL Holdings Group Limited, to the Board of Directors and to the Remuneration Committee, as well as FORVIS MAZARS SA as new statutory auditor and group auditor, and approved the amendment to the Company’s purpose as set out in its Articles of Association.
